Terms of Service

1. Our services

We offer branding, content, social media management, paid advertising and website services, grouped under our five cores: Identity, Narrative, Presence, Reach and Platform. The exact scope, deliverables and timeline of your project are set in your proposal.

2. Discovery Calls

Discovery Calls are free and come with no obligation. Nothing we discuss on the call is a commitment until we both sign off on a proposal.

3. Payments

Fees and payment schedules are listed in your proposal. Unless your proposal says otherwise:

• Projects: a 50% down payment is due before work starts. The remaining 50% is due on completion, before final files are released or the website goes live.
• Retainers: monthly fees are billed in advance at the start of each month.
• Invoices are due within 15 days of issue.
• Ad spend (for example, Meta Ads budgets) is separate from our fees and is paid by you, directly to the platform or to us in advance.

If a payment is overdue, we may pause work until your account is settled.

4. Retainers

Retainer work runs month to month with a 3 month minimum, so there's enough time to build something meaningful. After the minimum period, either side may end the retainer with 30 days written notice.

5. Revisions

Each deliverable includes 2 rounds of revisions. To keep things clear, please send all feedback for a round together in one message. Extra revisions or requests outside the agreed scope may be billed separately, and we'll always tell you before that happens.

6. Your responsibilities

To keep things moving, please send feedback, approvals and materials (logos, photos, logins, brand info) on time. You confirm that anything you give us is yours to use or that you have permission to use it.

7. Ownership of the work

Once your project is paid in full, you own the final deliverables we made for you. Drafts, unused concepts and our own tools, templates and methods stay with OPVS. Third party assets like fonts and stock photos follow their own licenses.

8. Portfolio use

We may feature finished work in our portfolio and on our social media. If your project needs to stay private, just tell us in writing and we'll respect that.

9. Confidentiality

We keep your business information private and only use it to do the work you hired us for.

10. Results and liability

We do our best work every time, but marketing results like reach, engagement, leads and sales depend on things outside our control, such as platforms, algorithms and the market. We can't guarantee specific numbers. Our total liability for any project is limited to the fees you paid for that project.

11. Ending a project

Either side may end a project with written notice. If you end it, the down payment is applied to the work and costs already completed. If the completed work is worth more than the down payment, we'll bill the difference. If we end it for reasons on our side, we'll hand over the work done and refund anything paid for work not yet delivered.

If a project is on hold for more than 30 days because we're waiting on feedback or materials, we may pause it and bill the work completed so far. We'll pick it back up as soon as you're ready.

12. Governing law

These terms are governed by the laws of the Republic of the Philippines.

13. Changes

We may update these terms from time to time. The effective date at the top shows the latest version.
